Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you (User, Client) and NETFRANEX MARKETING PRIVATE LIMITED (Company, we, us) concerning your access to and use of CTRL TASQ available at ctrltasq.com. By accessing or using CTRL TASQ, you acknowledge that you have read, understood, and agree to be bound by these Terms.

We reserve the right to modify, amend, or update these Terms at any time. Continued use of CTRL TASQ following any changes constitutes acceptance of the modified Terms. You are responsible for regularly reviewing these Terms.

2.1 Platform Overview

CTRL TASQ is a multi-tenant marketing automation platform designed to provide small and medium enterprises with comprehensive digital marketing tools, including:

• Multi-tenant social media automation and management
• WhatsApp Cloud API integration and messaging services
• Post scheduling, publishing, and content management
• AI-powered chatbots and automated communication pipelines
• Integration with Facebook, LinkedIn, and other social media networks
• Analytics, reporting, and performance tracking tools

2.2 Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to CTRL TASQ. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We shall not be liable for any service interruptions or downtime.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of CTRL TASQ, including features, functionality, or API integrations, at any time with or without notice.

All authentication with third-party platforms is conducted through secure OAuth 2.0 protocols and authorized API connections. You maintain full control over your social media accounts and can revoke CTRL TASQ access at any time through your respective platform settings.

You are solely responsible for maintaining the security and confidentiality of your CTRL TASQ account password and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4.1 Eligibility Requirements

To use CTRL TASQ, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Represent a legitimate business entity when registering on behalf of an organization
• Comply with all applicable local, state, national, and international laws and regulations

4.2 Account Registration

During registration, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update registration information to keep it accurate and current
• Accept responsibility for all activities that occur under your account

5.1 Permitted Use

CTRL TASQ is provided for legitimate business purposes only. You agree to use CTRL TASQ in compliance with all applicable laws, regulations, and third-party platform policies.

5.2 Prohibited Activities

You expressly agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or engage in mass unauthorized communication
• Distribute malware, viruses, or any malicious code
• Engage in fraudulent activities, phishing, or identity theft
• Harass, threaten, defame, or otherwise harm any individual or entity
• Collect or harvest personal information from other users without consent
• Circumvent, disable, or interfere with security-related features
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems (bots, scrapers) to access CTRL TASQ without authorization
• Resell, sublicense, or redistribute services without written authorization
• Publish or distribute content that is illegal, obscene, defamatory, or infringes intellectual property rights
• Impersonate any person or entity or falsely represent your affiliation with any organization

As a registered user of ctrltasq.com, you must comply with the terms of service, privacy policies, community standards, platform policies, and developer agreements of all integrated third-party platforms including Facebook, Instagram, LinkedIn, WhatsApp, Twitter, and other social media networks.

You acknowledge and agree that:

• You are solely responsible for ensuring your use of integrated platforms complies with their respective terms and policies
• We are not responsible for changes to third-party platform policies or API functionality
• Third-party platforms may suspend or revoke access at their discretion
• We may suspend your account if your activities violate third-party platform policies and jeopardize our platform integration status
• Facebook®, Instagram®, WhatsApp®, Messenger®, and Meta® are registered trademarks of Meta Platforms, Inc. YouTube®, Google My Business®, Google Business Profile®, and Google® are registered trademarks of Google LLC. LinkedIn® is a registered trademark of LinkedIn Corporation, a subsidiary of Microsoft Corporation. Twitter® and X® are registered trademarks of X Corp. (formerly Twitter, Inc.). TikTok® is a registered trademark of ByteDance Ltd. Pinterest® is a registered trademark of Pinterest, Inc. CTRL TASQ (operated by NETFRANEX MARKETING PRIVATE LIMITED) is an independent third-party marketing automation platform and is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Meta Platforms, Inc., Google LLC, LinkedIn Corporation, Microsoft Corporation, X Corp., ByteDance Ltd., Pinterest, Inc., or any of their subsidiaries or affiliates. All product names, logos, brands, trademarks, and registered trademarks are the property of their respective owners. Use of these names on this platform is for descriptive and identification purposes only and does not imply any affiliation with or endorsement by the respective trademark holders. Our integrations with these platforms are conducted solely through their official, publicly available APIs and in accordance with each platform's respective Terms of Service, Developer Policies, and Brand Guidelines.

7.1 WhatsApp Cloud API Charges

WhatsApp Cloud API messaging charges are applicable as per the rates specified by Meta and are separate from your CTRL TASQ subscription fees. These charges are based on message volume, conversation categories, template messages, and destination countries as determined by Meta.

7.2 TRAI and Regulatory Charges

For messages sent within India, charges applicable as per TRAI (Telecom Regulatory Authority of India) regulations, DLT (Distributed Ledger Technology) requirements, and other applicable regulatory requirements will apply. These charges are in addition to your subscription fees.

7.3 SMS and Other Messaging Charges

If applicable, SMS messaging, MMS, RCS, and other communication channel charges will be billed according to the respective service provider rates and carrier charges.

7.4 User Responsibility for Charges

You are responsible for all messaging charges, API usage fees, regulatory compliance charges, and any other applicable charges incurred through your use of CTRL TASQ. You agree to pay all such charges in accordance with the applicable pricing and billing terms. All messaging charges are non-refundable.

8.1 Subscription Plans

CTRL TASQ operates on a subscription-based model with various pricing tiers. Current pricing, features, and limitations for each subscription plan are available on our website. We reserve the right to modify pricing and plan features with thirty (30) days advance notice to existing subscribers.

8.2 Payment Terms

By subscribing to CTRL TASQ:

• You authorize us to charge your designated payment method for all applicable fees
• All fees are stated in Indian Rupees (INR) or other specified currency and are exclusive of applicable taxes including GST
• Payments are due immediately upon subscription or renewal
• You are responsible for all charges, including applicable taxes, GST, and currency conversion fees

8.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting customer support.

8.4 Payment Failure and Suspension

If payment fails or your account becomes delinquent, we may suspend or terminate your access to CTRL TASQ. You remain liable for all outstanding fees plus any collection costs or late fees as permitted by law.

9.1 Cancellation Rights

You may cancel your subscription at any time based on your interest and requirements. Cancellation can be initiated through your account settings or by contacting our support team.

9.2 Seven-Day Refund Window

Refunds are available ONLY if you cancel your account within SEVEN (7) DAYS of the initial subscription payment or renewal payment. If you cancel your account after 7 days from the date of payment, no refund will be provided, and you will retain access to CTRL TASQ for the remainder of your paid subscription period.

9.3 Refund Processing

Approved refunds will be processed within seven (7) business days from the date of cancellation request approval. Refunds will be credited to the original payment method used for the subscription. Please note that it may take additional time for the refund to appear in your account depending on your financial institution.

9.4 Non-Refundable Items

The following are NOT eligible for refunds under any circumstances:

• WhatsApp Cloud API messaging charges
• TRAI and regulatory compliance charges
• SMS, MMS, and other messaging service charges
• Third-party API usage fees
• Add-on services or one-time fees
• Subscription fees for accounts cancelled after the 7-day refund period

9.5 Cancellation Effect

Upon cancellation, your access to CTRL TASQ will continue until the end of your current billing period. No partial refunds will be provided for unused time within a billing period, except within the 7-day refund window.

9.6 Exceptional Circumstances

We may, at our sole discretion, provide refunds or credits on a case-by-case basis for exceptional circumstances, such as prolonged service outages caused by our technical failures or other circumstances deemed appropriate by management.

10.1 Privacy Policy

Our Privacy Policy governs the collection, use, and disclosure of your personal information. By using CTRL TASQ, you consent to our data practices as described in the Privacy Policy available on our website.

10.2 International Data Protection Compliance

We comply with applicable data protection laws including the General Data Protection Regulation (GDPR) for European Economic Area users, California Consumer Privacy Act (CCPA) for California users, Personal Data Protection Act for Indian users, and other international data protection regulations.

10.3 User Data Responsibilities

When using CTRL TASQ to process customer or user data, you agree to:

• Obtain all necessary consents and permissions for data collection and processing
• Comply with applicable data protection laws in your jurisdiction
• Maintain appropriate security measures for data protection
• Respond to data subject requests in accordance with applicable law

10.4 Data Security and Backup

We implement industry-standard security measures to protect user data. However, no system is completely secure, and you acknowledge that data transmission over the internet carries inherent risks. You are responsible for maintaining backup copies of your data. We are not responsible for data loss except where caused by our gross negligence or willful misconduct.

11.1 Platform Ownership

CTRL TASQ, including all software, code, design, graphics, interfaces, documentation, trademarks, and related materials, is owned by NETFRANEX MARKETING PRIVATE LIMITED and protected by Indian and international intellectual property laws, including copyright, trademark, patent, and trade secret laws.

11.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CTRL TASQ solely for your internal business purposes. This license does not grant you any ownership rights or intellectual property rights in CTRL TASQ.

11.3 User Content

You retain all ownership rights to content you create, upload, or distribute through CTRL TASQ. By using CTRL TASQ, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your content solely to provide and improve our services.

11.4 Feedback and Suggestions

Any feedback, suggestions, ideas, or recommendations you provide regarding CTRL TASQ shall become the exclusive property of NETFRANEX MARKETING PRIVATE LIMITED. You hereby assign all rights, title, and interest in such feedback to us without compensation.

We make no guarantees regarding engagement rates, follower growth, conversion rates, lead generation, or any marketing outcomes. We do not warrant the continued availability or functionality of third-party platform integrations.

While we strive to provide accurate information and analytics, we do not warrant the accuracy, completeness, or reliability of any data, reports, or analytics. You are responsible for verifying information before making business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NETFRANEX MARKETING PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO CTRL TASQ SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless NETFRANEX MARKETING PRIVATE LIMITED, its subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from your use of CTRL TASQ, violation of these Terms, violation of third-party rights including intellectual property or privacy rights, violation of applicable laws, or any content you submit through CTRL TASQ.

15.1 Termination by User

You may terminate your account at any time by discontinuing use of CTRL TASQ and cancelling your subscription through account settings. Termination does not relieve you of payment obligations for services already rendered.

15.2 Termination by Company

We may suspend or terminate your account immediately, without prior notice or liability, for:

• Breach of these Terms
• Violation of third-party platform policies
• Fraudulent or illegal activity
• Non-payment of fees
• Request from law enforcement or government authorities

15.3 Effect of Termination

Upon termination, your right to access and use CTRL TASQ immediately ceases. We may delete your account data after a reasonable retention period as required by law. Provisions that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. You remain liable for all fees and charges incurred prior to termination.

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

16.2 Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that any legal action or proceeding arising from or relating to these Terms or CTRL TASQ shall be brought exclusively in the courts located in Telangana, India, and you irrevocably consent to the jurisdiction of such courts.

16.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English in Telangana, India, by a single arbitrator mutually agreed upon by the parties.

16.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding CTRL TASQ and supersede all prior agreements.

Severability: If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver. Our failure to assert any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted transfer in violation hereof shall be null and void.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, pandemics, natural disasters, or government actions.

Notices: All notices shall be in writing and delivered by email to the address associated with your account. Notices shall be deemed given upon receipt.

No Third-Party Beneficiaries: These Terms do not confer any third-party beneficiary rights and do not create any agency, partnership, joint venture, or employment relationship.

Language: In case of conflicts between the English version and any translation, the English version shall prevail.

• You have the authority to enter into these Terms on behalf of yourself or your organization
• You understand and accept all risks, limitations, and disclaimers outlined in these Terms
